By accessing or using Fleetz's vehicle rental management platform and related services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms constitute a legally binding agreement between you (either an individual or entity) and Fleetz Pty Ltd ("Fleetz", "we", "us", or "our").

2. Description of Services

Fleetz provides a software-as-a-service (SaaS) platform for vehicle rental operators, including but not limited to:

Fleet and vehicle management
Online booking and reservation system
Customer management and verification
Payment processing integration
Contract and document generation
Analytics and reporting

3. Account Registration

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access
Ensuring your use complies with all applicable laws and regulations

4. Subscription and Fees

4.1 Pricing

Our Services are offered under various subscription plans, including free and paid tiers. Current pricing is available at fleetz.com.au/pricing.

4.2 Transaction Fees

Certain plans include transaction fees based on successful bookings processed through the platform. These fees are disclosed in your subscription agreement.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees.

4.4 Refunds

Subscription fees are non-refundable except as required by law or as otherwise stated in these Terms. Transaction fees are charged only on successful bookings.

5. User Responsibilities

You agree to:

Use the Services only for lawful purposes
Not violate any applicable laws, regulations, or third-party rights
Not upload any malicious software or harmful content
Not attempt to gain unauthorized access to our systems
Not use the Services to send spam or unsolicited communications
Maintain accurate records and comply with your local business regulations
Obtain necessary consents from your customers for data collection

6. Data and Privacy

You retain ownership of all data you upload to the Services ("Your Data"). By using the Services, you grant us a limited license to use Your Data solely to provide and improve the Services.

Our collection and use of personal information is governed by our Privacy Policy. You are responsible for ensuring your use of the Services complies with applicable privacy and data protection laws.

7. Intellectual Property

The Services, including all software, content, trademarks, and intellectual property, are owned by Fleetz or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.

You may not copy, modify, distribute, or reverse engineer any part of the Services without our prior written consent.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Fleetz is a technology platform and does not provide vehicle rental services directly. We are not responsible for the rental transactions between you and your customers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEETZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fleetz and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services or violation of these Terms.

11. Termination

You may cancel your subscription at any time. We may terminate or suspend your access to the Services immediately, without notice, for:

Breach of these Terms
Non-payment of fees
Fraudulent or illegal activity
Actions that harm other users or the Services

Upon termination, your right to use the Services will cease. You may export Your Data before termination. We will retain Your Data for 90 days post-termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales, Australia, and you consent to the exclusive jurisdiction of those courts.
